Terms and Conditions

1. Scope

1.1. The Subhiksha Hotels and Resorts Private Limited’s Website/Application display the room availability along with comprehensive and up to date product information for customers to book the rooms in the Hotel through Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited B2C and B2B channels.
1.2. This agreement, the rates and terms and conditions shall be applicable for the hotels/properties that are included and/or added by Hotel or under the trade name of Hotel.

2. Term and termination

2.1. This agreement shall be valid from This day and shall continue for such period unless terminated herein. The parties are at liberty to revise the commercials by executing a letter or exchange of an email between the parties.
2.2. Either party may terminate this Agreement with or without any reason either party by giving fifteen (30) days prior written notice to the other.
2.3. The Hotel shall honor any booking/reservations from Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited done till the date of termination, and all reservation/bookings therein shall survive the termination of the agreement. Both parties have full understanding in respect to the terms of this agreement, including rates for accommodation and other services rendered by the Hotel.

3. Hotel Obligations:

3.1. The Hotel shall provide Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited, room availability and allotment of at least 10 rooms on a daily basis for the period of the Agreement. The hotel shall daily update and display the room allotment to Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited. The availability and confirmation of the rooms are guaranteed and the bookings shall be honoured by the Hotel. The Hotel will provide Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited with such comprehensive and up to date product information, including photographs, and facility/service descriptions.
3.2. Rates: The Hotel shall provide Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited with two rates i.e. Public rate and Private Rate. Public rate shall be the rate of the Hotel displayed by Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited on its B2C website and Private rate shall be the rate Hotel to be used or displayed by Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited on its B2B channels. The rates shall be stand-alone rates and independent of each other.
3.3. The Hotel shall update the Booking, Cancellation and Amendment Policy on the website of the Subhiksha Hotels and Resorts Private Limited and Resorts Private Limited. Subhiksha Hotels and Resorts Private Limited shall accept bookings from customer based upon such policy that is updated by the Hotel and the Hotel shall be responsible to honour the bookings.
3.4. Any release of the rooms shall not be done without the approval and confirmation of Subhiksha Hotels and Resorts Private Limited. They will have to keep Subhiksha Hotels and Resorts Private Limited informed of the sold out dates.
3.5. All information contained in this agreement and provided by Subhiksha Hotels and Resorts Private Limited to the Hotel is strictly confidential and must not be disclosed to third parties.
3.6. The Hotel shall be solely responsible to update/maintain the inventory and rates on Subhiksha Hotels and Resorts Private Limited’s website/App. If the hotel fails/omits to update, verify and/or amend the inventory and rates, then hotel shall honour all the bookings of the customers done through Subhiksha Hotels and Resorts Private Limited by either accepting the booking or upgrading the booking at the same cost.
3.7. Incentive: Towards the bookings done by Subhiksha Hotels and Resorts Private Limited for the Hotel, the Hotel shall provide such an additional incentive, as is mutually decided by the parties through separate exchange of letters, such letter shall be treated as part of this agreement.

4. Payment Consideration/Fees/Taxes/TDS

4.1. Subhiksha Hotels and Resorts Private Limited will pay the Hotel the net room rates for all reservations after deducting Subhiksha Hotels and Resorts Private Limited commissions as mentioned in Annexure A and at such commission rates mutually decided in writing between the parties from time to time
4.2. Subhiksha Hotels and Resorts Private Limited shall collect the payment for booking from the customer at the time of booking and shall remit the net rate payable to the hotel (On as is where is basis), after the customer check-out in the manner as described in Annexure B.
4.3. The commission deducted by Subhiksha Hotels and Resorts Private Limited shall be subject to tax deduction at source.
4.4. The TDS certificate shall be provided by the Hotel to Subhiksha Hotels and Resorts Private Limited at the end of every quarter.
4.5. In event of cancellation/refund of bookings and/or difference in reconciliations, the Hotel agrees that Subhiksha Hotels and Resorts Private Limited shall forthwith adjust such payments in future bookings or the Hotel shall refund the amount within 3 months for the date of stay, whichever is earlier.
4.6. Subhiksha Hotels and Resorts Private Limited shall levy interest of 18%p.a. on all outstanding payments till the date of payment by the Hotel
4.7. All additional and miscellaneous services availed by the customer during the stay to be charged directly to the customer.

5. Inability to Honor Reservations/ Cancellations and No-shows

5.1. If the Hotel is unable to honor any of its reservations, it shall immediately notify Subhiksha Hotels and Resorts Private Limited and upgrade the Subhiksha Hotels and Resorts Private Limited customer to the next best higher room type, without any extra charge or relocate the Subhiksha Hotels and Resorts Private Limited customer to comparable or higher Hotel or Resort, with the same (identical) inclusions.
5.2. The Hotel shall also prepay to such comparable or higher Hotel or Resort the room charges for the nights in question, together with all the transportation costs of such customer to such alternative accommodation and with the same (identical) inclusions. The Hotel will immediately deliver a written apology to the Subhiksha Hotels and Resorts Private Limited and/or its guest including an explanation absolving Subhiksha Hotels and Resorts Private Limited of responsibility for supplier’s / hotel’s failure to honor the reservation.
5.3. Subhiksha Hotels and Resorts Private Limited will notify the Hotel of cancellation and amendments made by Subhiksha Hotels and Resorts Private Limited Guest and Hotel shall process refunds as per the booking/cancellation policy of the Hotel for which the booking was done.

6. Rate parity guarantee and Inventory Details

6.1. The Hotel guarantees to Subhiksha Hotels and Resorts Private Limited / that for Private Rates the sell price advertised on Subhiksha Hotels and Resorts Private Limited / corresponds to the best available price for an equivalent stay and that a better price cannot be obtained by a Guest making a reservation with the Hotel directly or via another party or via another medium.

7. Compliance with applicable laws

7.1. The Hotel shall comply with the applicable state and central laws and regulations and to comply with municipal regulations applicable in respect of safety, health, hygiene, fire regulations etc., and to ensure their enforcement in respect of the relevant hotel facility. The Hotel shall co-operate and provide all necessary assistance with Subhiksha Hotels and Resorts Private Limited in case of any audit, enquiry, investigation, dispute and/ or litigation.

8. Indemnity

8.1. Both Parties shall indemnify, defend and hold harmless each other and their respective officers, directors, agents and employees harmless from and against all claims, damages, liabilities, costs, losses and expenses, including reasonable attorneys’ fees and expenses incurred for any claim against each other arising out of a breach by the breaching Party of the obligations (including any warranty) under this Agreement based resulting from Services or performance of this Agreement. Notwithstanding anything else to the contrary contained elsewhere herein or otherwise, the Subhiksha Hotels and Resorts Private Limited’s indemnity or other monetary obligations hereunder shall be limited and restricted to actual value of the transaction/ booking amount against which the dispute arises.

8.2. Customer Liability: The Hotel shall be responsible to ensure that any and all complaint or grievances of the Customers towards any deficiency of services, negligence or wilful misconduct are addressed and resolved by the Hotel directly and any claim of damages shall be paid fully by the Hotel. In event Subhiksha Hotels and Resorts Private Limited has to pay to the customer, the same shall be adjusted against future payments. In the case of a customer dispute, discrepancy or audit by legal or any other authorities, Hotel shall produce evidence of guest occupancy.

9. Relation:

This Agreement is on principal to principal basis and it shall not create any employer, employee relationship nor shall it be deemed to create any partnership or joint venture between the Hotel and Subhiksha Hotels and Resorts Private Limited

10. Jurisdiction and Arbitration

10.1. This Agreement shall be governed by, construed and enforced in accordance with the laws of India and the Courts in Sriperumbudur shall have exclusive jurisdiction. In the event the of any dispute between the parties the same shall be resolved through arbitration of Sole Arbitrator, nominated and appointed by Subhiksha Hotels and Resorts Private Limited, as per the Arbitration and Conciliation Act, 1996 and its statutory modifications. The Hotel by consenting the terms of this Agreement and/or adhering to the same accepts the appointment of such a Sole Arbitrator, by Subhiksha Hotels and Resorts Private Limited, to resolves any disputes among them. The venue of arbitration shall be Chennai and the language of the Arbitration shall be English.
